Transparency of Picture when it is inserted into Diagrams

When i insert a image into diagrams, i need transparency for the picture.

Grid need to shown above picture which helps in tracing of the picture.

when you insert a image it is difficult to achieve results  and can't get transparency.

need to use .dgn for this purpose
